1. USE OF Seats and Suites (S&S) AND The Official College Ticket Exchange Network (OCTN)

1.1.

S&S and OCTN are only venues. These sites act as venues for buyers and sellers to meet via e-mail to buy and sell Seat Rights, Season & Single Event Tickets, and Luxury Suites to sporting events. We are not involved in the actual transaction between the buying and the selling of the parties.

1.2.

The services offered by S&S and OCTN are only available to individuals capable of forming legally binding contracts under the law. Without limiting the foregoing, our services are not available to minors. If you do not qualify, you are not authorized to use our services.

1.3.

We may limit the use of our services to anyone at any time, at our sole discretion and for any reason.

1.4.

You may not use any device, software or hardware or otherwise, to interfere or attempt to interfere with the workings of the S&S or OCTN sites or any sale or transfer being conducted on these sites.

1.5

Unsolicited commercial advertisements are not allowed and will result in account suspension or cancellation. "Spamming" on S&S or OCTN is prohibited. Spamming is defined as, among other things, sending e-mail to users who have not volunteered their email address to the sender. Spamming will result in immediate disconnection of your service. Any monies paid to Seats & Suites.Com, LLC are forfeited. Additional fines may also apply.

2. TAXES ARE YOUR RESPONSIBILITY

2.1.

You are responsible for paying all applicable taxes for all Seat Rights, Season & Single Event Tickets and Suites bought, leased, or sold.

3. DISCLAIMERS

3.1.

As S&S and OCTN are not involved in the sales transactions between the parties, we have no control over the quality, safety or legality of the Seat Rights, Season or Single Event Tickets and Suites advertised, the truth or accuracy of the listings, the ability of sellers to sell the Seat Rights, Season & Single Event Tickets and Suites or the ability of buyers to buy the Seat Rights, Season & Single Event Tickets and Suites. We cannot and do not control whether or not sellers will complete the sale of items they offer or buyers will complete the purchase of items they have made offers on.

3.2.

Due to the nature of the Internet, determining the authentication of the user is difficult and S&S and OCTN does not confirm that each user is who they claim to be. However, by requiring members to register to participate, we obtain personal data that will assist us in authenticating the user, should disputes arise. We will use this data only if S&S or OCTN are used for fraudulent purposes and for no other reason than to service your account. Because S&S and OCTN cannot be involved in user-to-user dealings, in the event a dispute arises, you release E TicketBoard, Inc.,, our agents and employees from claims, demands and damages, both actual and consequential, of every kind and nature, known and unknown, arising out of, or in any way connected with such disputes.

3.4.

For legal reasons, we cannot and do not control the information provided by other users and made available through our system. We expect that you will use caution -- and common sense -- when using our site.

3.5.

By making these recommendations to exchange Seat Rights, Season & Single Event Tickets and Suites, we do not guarantee the exchange will take place and you release E TicketBoard, Inc., and employees from any damages, both actual and consequential, arising out of or in any way connected with such exchanges.

3.6.

Buyers and Sellers exchanging Seat Rights, Season & Single Event Tickets and Suites should meet in public places. Buyers and Sellers unable to meet should consider use of certified or registered mail to facilitate exchanges.

4. TERMINATION

We may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership, any of your current offers, and any other information you place on the site if you breach this Agreement or if we are unable to verify or authenticate any information you provide to us. All access fees are forfeited as a result of any of the above actions.

5. LIMITATION OF LIABILITY

5.1.

THE MATERIALS PROVIDED ON THIS WEBSITE ARE PROVIDED "AS IS" WITHOUT ANY EXPRESSED OR IMPLIED WARRANTIES OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE.

Seats & Suites.Com, LLC. OFFERS NO ASSURANCES OF UNINTERRUPTED OR ERROR-FREE SERVICES.

5.3.

Seats & Suites.Com, LLC, DOES NOT WARRANT THE ACCURACY OF COMPLETENESS OF THE INFORMATION CONTAINED WITHIN THIS WEBSITE AND MAY CHANGE ANY OF THE INFORMATION FOUND AT THIS SITE WITHOUT NOTICE.

5.4.

IN NO EVENT SHALL Seats & Suites.Com, LLC, BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF INFORMATION OR OPPORTUNITY, ARISING OUT OF THIS USE OF INABILITY TO USE THE MATERIAL, INFORMATION OR WEBSITE EVEN IF ADVISED OF SUCH DAMAGES. Since some jurisdictions prohibit the exclusions or limitation of consequential or incidental damages, the above section may not apply to you.

6. NOTICE

6.1.

Except as explicitly stated otherwise, any notices shall be given by email to the email address you provide to S&S or OCTN during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed given 3 days after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided by S&S or OCTN during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

7. GENERAL PROVISIONS

7.1.

This Agreement shall be governed in all respects by the laws of the State of North Carolina as such laws are applied to agreements entered into and to be performed entirely within North Carolina between North Carolina residents. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.

We may amend this Agreement at any time by posting the amended terms on our site. The amended terms shall be effective immediately upon posting on our site.
